Cube Highways Trust IPO: A New Infra Investment Opportunity

Cube Highways Trust has filed preliminary documents with the Securities and Exchange Board of India (SEBI) to raise up to ₹5,000 crore through an Initial Public Offering (IPO). The offering marks the trust’s plan to transition from a privately listed infrastructure investment trust (InvIT) to a publicly listed InvIT, allowing wider participation from institutional and retail investors.

According to the draft papers submitted to SEBI, the proposed IPO will be entirely an Offer-for-Sale (OFS). This means that existing unitholders will sell a portion of their current units to new investors, and the proceeds from the issue will go to the selling shareholders rather than to the trust itself.

Cube Highways Trust operates a portfolio of operational road assets across India, primarily consisting of toll and annuity-based highway projects. The InvIT structure enables infrastructure developers and investors to monetize operational assets while offering stable yield opportunities to investors through periodic distributions.

By listing publicly, Cube Highways Trust aims to enhance liquidity, broaden its investor base, and increase market visibility. The move also reflects the growing popularity of the InvIT model in India’s infrastructure sector, which provides investors access to long-term infrastructure assets with relatively predictable cash flows.
